This Referral Agreement ("Agreement") outlines all terms and conditions that apply to The i-Mind’s Referral Programme ("Programme"), applicable to both the Referral Partner ("Referrer") and The i-Mind ("Company"), also individually referred to hereinafter as the "Party" and collectively referred to as the "Parties".

1. The Parties
The i‑-Mind provides certain services as advertised on their website.The Referral Partner is a company or an individual aged 18 or over that has access to potential clients who may benefit from these qualified services.The i‑-Mind and the Referral Partner agree that the Referral Partner may refer potential clients to The i Mind via their website, blog, group, email, or through any other sharing method in exchange for a commission in the case of a successful referral.

2. Agreement
This agreement is intended to outline the terms of the referral relationship between the Referrer and the Company.The Company provides certain services as advertised on its website. The Referrer, an individual or a company, has access to potential clients who may benefit from these services. The Parties agree that the Referrer may refer potential clients to the Company via their website, email, or any other sharing method.

3. Referral Process
The Referrer must submit their referral via email or via the website form. The referrer must provide their name and email, along with the name and business email of the Referral, along with a description of the professional relationship between the Referrer and Referral, the selected commission plan (either 5% or 3% year-long), as well as information about any contractual or other limitations that might restrict the Referral from receiving commission from The Company. The Company will then confirm the validity of the referral and that the client is new by checking the Company's records and, upon request, providing proof of previous collaboration to the Referral via a written statement. Upon request, the Company will provide information to the Referrer about the status of the referral.

4. Successful Referral
A successful referral is an introduction to a new client who fits the profile of our ideal referral: a representative of a mid-size company that creates or uses print, digital, or audiovisual products/services and needs to localise them into multiple languages. The new client must enter into a working relationship with the Company and start at least one project within six months of the referral submission. If these conditions are not met, the referral may not be considered successful.

5. Commissions and Payout
Upon a successful referral, the Referrer will receive a commission. As per the Referrer's choice, this commission may amount to 5% of the referred client’s first project volume or 3% of all project volume generated by the client within one year from the referral. The Referrer is to choose their preferred commission format upon submission of their referral.

6. Payment Terms
A standard payment period of 45 days upon receipt of the Referrer’s invoice applies to the payment of all commissions. All payments will be made once a month, between the 1st and 15th of the month, and will follow the payment methods described in our Payment Terms. In addition, the payment of the one-off 5% commission will be made after the Client’s payment to The i Mind, and the payment of the 3% year-long commission will be made within 45 days of the end of the referral year. For the 3% year-long commission, an accumulated commission payment inquiry will be accepted for a minimum of a quarter and will be based on the invoices paid by the referral during that period.

7. Relationship with the Referrer
Each Party’s relationship to the other Party is that of an independent contractor. There is no employment relationship between the Parties unless otherwise agreed. Therefore, the Referral Partner shall always act as an independent contractor.

8. Termination
The Company reserves the right to suspend or terminate a Referral Partner’s involvement in this Programme for any of the following reasons: inappropriate advertisements, spamming, advertising on sites promoting illegal activities, failure to disclose an affiliate relationship, violation of intellectual property rights, self-referrals, fraudulent transactions, suspected partnership fraud. In the event of termination, the Referrer will not be eligible to receive any unpaid commissions for referrals made before termination.

9. Conflict Resolution
Any disagreements arising from the outcome of a referral registration shall be subject to arbitration in accordance with the Bulgarian laws.

10. Data Protection
In accordance with the General Data Protection Regulation (GDPR), the Company is committed to protecting the personal data of the Referrer and their referrals. The Company has implemented appropriate technical and organisational measures to ensure a level of security appropriate to the risk. The Referrer is also responsible for ensuring that their referrals have consented to the sharing of their personal data with the Company and that they comply with applicable data protection laws when collecting and sharing this data.

11. Acknowledgement
Each Party acknowledges that these Terms and Conditions are the only such conditions that apply to the Programme and supersede any other agreements, whether written or oral, that may have been made. The Company reserves the right to make amendments to these Terms and Conditions at any time by updating this Agreement on its website. The Referrer is responsible for checking for updates to the Terms & Conditions.

By participating in the Programme, the Referrer agrees to abide by these Terms & Conditions.
